True alchemy is the evolution or transmutation from where we are to where we wish to be, or our highest vision that we have for ourselves. In all areas of life. Having being a multi millionaire, and bankrupt I really appreciate physical wealth, but it is only one aspect of life and without wealth' in the other areas we would be really poor.

Letting Go Of Regret - Learning From Your Mistakes Positively

You need to stop living your life having regrets for things in your past. Constantly thinking about events from your past that you aren't proud of, mistakes you may have made in your relationships, or things you "should have" done isn't going to make your future any better. You need to accept where you are in your life for what it is, and learn from your "mistakes". No matter how bad you view something from your past to be, take the time to really find something positive from it. Look hard. There is something there.

Bad things are going to happen to you. They happen to everybody. It's how you deal with them that allows you to grow as a person and an overall happier human being. If you're able to find just one positive from an event, you will grow. Consider this example:

Say you're in college and your friends invite you out for a few beers. However, you have a big exam the next day. You've studied for weeks and are certain of all the material that's going to be on the exam. You decide to go because you heard that cute guy or girl you've had your eye on is going to be there. You have a few beers and finally get the courage to do some flirting. After a few more beers, you're pretty drunk and decide you need to go home. You catch a few hours sleep and take your exam. Long story short, you fail the exam because you made a bad decision to go out the night before. You feel complete disappointment in yourself, which you should. However, instead of moping around about it, learn from your mistake and move on with your life. Realize that your hard work doesn't pay off unless you complete the project. Studying for weeks for the exam was wasted for a night out of fun. Learn what you need to do to accomplish the goals you set out for yourself, and stay disciplined until you have successfully completed what you set out to do.

To take that first move toward to a new positive way of pursuing life, try the following:

Make a list of the events from your life that you continue to dwell on and can't seem to let go of.
For each event, write down what your mistake was, what you learned from this mistake, and something positive you have today because of the situation.
Let go of it!

If you are able to release the binds of the past and start to live for today, you will start to feel a happiness that is very rewarding. What's in the past, is in the past. It cannot be undone. Apply your energy to today and appreciate the life that you have.

10 Discredited Or Untested Hiv ?cures'

It's well documented that there are no medically verified cures for HIV and AIDS. While researchers continue to make progress towards getting a cure, there are always going to be a number of discredited treatments and conmen trying to make some money off the backs of people's desperation. Here are 9 of the more unusual ones, as well as one that is yet to be externally verified that's been rumbling on for 8 years

The Remarkable Recovery of Andrew Stimpson

Anecdotally, there have been a lot of cases of people spontaneously recovering for no reason whatsoever, but in November 2005, two British newspapers broke the story of Andrew Stimpson. In May 2002, Stimpson underwent HIV testing and was diagnosed as positive. In August that year, he underwent two further tests both of which confirmed the original diagnosis. The viral load test showed the virus to be of low quantities, so he was not prescribed antiretroviral medication, but took vitamin supplements on his own volition.

14 months later, feeling surprisingly healthy he was tested again and found to have no HIV antibodies in the blood stream two follow up tests confirmed this. After attempting to sue the hospitals which had wrongly diagnosed him, it was confirmed that there was no mix-up, and his original blood sample was retested only to find another positive.

He went for follow up testing in 2006 to see if he held the answer of a cure in him, but no news has appeared since. Although 3 false positives is highly unlikely, many scientists still find it a more plausible explanation than a cure and the vitamins explanation is generally considered nonsense (many people worldwide take vitamins and mineral supplements, and there is no evidence to suggest they help cure an HIV infection.)

President Jammeh's AIDS Cure

In January 2007, President Jammeh of Gambia made the claim that he could cure both Asthma and HIV/AIDS with a day's treatment. He promised that in between 3 and 30 days an HIV test would show negative results. The treatment involves herbs mixed into a green paste and a pale yellow tea, along with the power of prayer.

Although the Gambian president still continues the treatment, results have been met with skepticism at least two patients have died, and many others show no improvement. Those that do show an undetectable viral load test may well have been taking antiretroviral medication before the treatment, which often leaves the virus undetectable. The International AIDS association has labeled Gambia's reliance on an untested program unethical and described the decision to take patients off antiretroviral medications shocking and irresponsible

Dr Sebi

Dr. Sebi was arrested in 1987 and again in 1997 for publishing false health claims and practicing medicine without a license, but that hasn't stopped many being taken in by his electric foods which claim to cure AIDS, cancer and others. The miracle cure, which comes with no verifiable evidence, is a mixture of plant extracts which claims to remove the mucous which Sebi believes is the cause of AIDS when compromised.


Ubhejane is a brown liquid made from 89 herbs which is available in South Africa, created by Zeblon Gwala. Rigorous human trials have shown no evidence of this improving the condition of those with positive HIV test results, but that hasn't stopped the Gwala's employees describing it as a cure for AIDS. The opposition party in South Africa has attempted to prosecute Gwala for fraud, and recently the Advertising Standards Authority of South Africa demanded the withdrawal of an advert that boasted that the drug boosted immunity and reduced viral load.

Colloidal Silver

Colloidal Silver is a suspension of tiny silver particles in water. It can kill germs in laboratory conditions, but that doesn't mean that it benefits people with HIV as has been suggested. On top of the fact that there is no evidence that it works as a cure, taking Colloidal Silver can be incredibly dangerous. It is illegal in America, can cause irreversible bluish-grey skin discoloration (argyria) and in large doses can cause kidney damage, stomach issues, headaches, fatigue, skin irritation and neurological problems.


In the late 1990s, Virodene was seen as a potential cure for AIDS, and was strongly supported by members of the South African government. Lab studies have shown that the chemical (based on the industrial solvent dimethylformamide) does not destroy HIV or inhibit its replication, and the only study on humans showed it did not reduce viral load and only marginally affected the immune system. Dimethylformamide in its original form is a toxic substance and workers are advised to avoid contact with the skin as it can cause serious liver damage!


Ozone is a form of oxygen gas that is unstable it's been touted as a cure for many diseases as well as for those who have had HIV tests return positive. Whatever form it is taken through injected, applied to extracts of blood, or swallowed the gas has shown no significant effects on HIV infection. It's illegal in America for retailers to make any health claims about ozone generators.

Dr. Hulda Clark's HIV Zapper

Dr. Hulda Clark who does not actually hold a medical license promotes an electrical zapper' which she claims can destroy parasites, bacteria and viruses in the body by generating low voltage electricity. No proper studies of the zapper have been conducted, but given Dr Clark has been in trouble for practicing medicine without a licence in both the US and Mexico, and believes that HIV comes from intestinal worms and can be present in snails, would you really want to take a chance on her remedy?

Dr. Gary R. Davis' Goat Serum

When a goat appeared to Dr. Gary R. Davis in a dream, he believed that a goat serum was the cure to HIV. He was unable to conduct tests in America or Ghana due to legal restrictions, but one woman stole a sample of the serum from his office and used it on her daughter. Despite many reports to the opposite, the daughter confirmed in an interview in 2006 that the treatment had not been successful and that subsequent HIV testing had provided positive results.

Jeremiah Abalaka

Along with all these discredited cures, there is one that has been rumbling on without a scientific approval for some 8 years now. In May 2000, the BBC reported on Jerimiah Abalaka, a Nigerian doctor who claimed to have found a cure and a vaccine against the dreaded HIV virus. After curing 29 people, Abalaka promised a paper on it soon and even claimed to have injected himself with HIV positive blood on six occasions to prove the success of his vaccine.

When the scientific paper was published, it emerged that the vaccine was developed from the blood of HIV patients and Abalaka claimed that it also eliminated antibodies for Hepatitis B and C, and improved malaria symptoms in a number of patients. New Scientist described the idea of a vaccine as plausible' in 2004, but to date it has not been verified outside of the paper itself. The saga continues to rumble on, and the last I heard it Abalaka was suing the Nigerian Academy of Science for casting doubt upon the vaccine.

Other issues which you may want to address in the letter of intent include expense escalations, co-tenancy issues, eminent domain, foreclosure, maintenance standards, definition of the amount of leaseable space, personal guarantees, purchase option, subleasing, required hours of operation, dedicated parking, who is responsible for obtaining variances related to signage and usage of the retail space, expansion options, first right of refusal, can the tenant keep the TI allowance not needed for construction, can the landlord relocate the tenant if the space is needed to accommodate another tenant, late payment fees, the mechanics of providing notice of default and any options for the tenant to cure the default, mechanics of dispute resolution between the landlord and tenant, and a right to terminate if your sales do not stabilize at a minimum level.
Complete LOI First

Complete and obtain an executed copy of the letter of intent before beginning on the lease agreement. The primary objective of the letter of intent is to negotiate and agree upon the business issues. The lease documents these agreements. Discuss fees to negotiate the lease with your attorney. Agree upon an hourly rate and estimate of the total fees. Agree the attorney will call if it appears the cost is going to exceed the estimate.
The following sections of the leasing retail space article focuses upon issues which merit commentary.

Percentage Rent

Percentage rent -- make sure the agreement regarding percentage rent is clear. If percentage rent is based on sales, define sales. For example, is sales-tax remitted to the city and state included in sales? It is even more difficult to define net profits, which is why most percentage rent leases are based upon sales instead of profits. Attempt to look at the definition of net profits from a detached perspective. If you gave the definition to a six grader, could they understand it?
Renewal Options

Renewal options -- tenants love them and landlords prefer to avoid them. In general, a larger number of shorter renewal options are better for the tenant. In addition, shorter notice periods to announce the tenants intend to renew are desirable for the tenant. Landlords prefer as much notice as possible regarding whether or not the tenet plans to renew.
Renewal Option Rental Rates

Renewal option rental rates -- tenants typically want fixed rental rates for renewal periods. Landlords typically want the rental rate based upon market rent. Agreeing upon market rents can be difficult and expensive. Reasonable people can disagree regarding the level for market rent for a retail space. For example, should the premium for an end-cap space be 10% or 100%? Retail space is not fungible. It recently signed lease for retail space within the same center provides insight into market rent. However, in most cases it will not clearly defined market rent.

Guide For Build An Indoor Grow Room

A well thought out and constructed grow room will make your life so much easier so where do you start?

1. Decide which room in your home will be used as the grow room. Almost any space could be used for a grow room, from a small cupboard to a whole room, garage or attic space. You can either convert a whole room or cupboard into a grow room, or build a tent or chamber within a room to create an enclosed growing space.

2. Converting whole room. Ideally remove any carpet and line the floor with thick black/white reflective sheeting or seal with pond liner if possible leaks would cause you a problem. This will prevent mildew, mold, harbour bugsand bacteria growth from any potential water leakage.

3. Air flow and circulation. Air flow and circulation are essential consideration for design of your grow room, as everything from temperature to humidity to plant respiration depends on your exhaust and intake system. The main consideration is that whatever area you choose you will have to give that area air exchange, provided usually by an extractor fan. As a general rule, the more lights you have the more air exchange you will require.

4. Even if you have a small window or natural light source in your growing area you may want to block it off or light trap the area with reflective sheeting. Any natural light that gets to your plants during this lights of period could confuse the plant and affect its growth. Seal off windows with black plastic. Hang a section of black plastic in front of the door on the inside of the room as well. It should hang like a curtain to allow access, but prevent other light from entering the room.

5. Install the grow light system. This system should allow for physically raising and lowering the grow lights. For a one or two light set up a couple of normal double wall socket would be sufficient. Use chains or cables to ensure stability and durability. Do not use any flammable materials. Use a timer for your lighting system as well. Your lighting needs to mimic a day/night cycle.

6. Air cooling. This will To help avoid heat problems, especially in summer. The very structure of a greenhouse allows for heat to build up. The sun coming through glass or plastic can heat an enclosed area quickly. By providing vents throughout the greenhouse, and fans that blow the heat toward the vents, you can help cool the air inside. Warm air rises, so having vents placed near the roof on either end of the greenhouse will Help alleviate excessive heat.

7. Place the grow tables beneath the lights. Your tables should include a drainage system and, if possible, a system to recycle excess water. A nearby water supply is vital as your plants may get very thirsty under all that light. We recommend tap water over rain water as it gives you a much cleaner and safer base liquid on which to build. Rain Water will already contain many elements and could also carry diseases or fungi that could harm your plant.

8. Use a timer for any pumps that will circulate water, such as those used in hydroponics systems. If you are using an irrigation or drip system, go with a timer to ensure even watering. . With hydroponics systems nutrient and pH problems can be eliminated, since the grower maintains a tight control over their concentration.

These figures allow us to see where improvements can be made. In July last year we embarked on a major overhaul of our systems and processes to further improve our service to our clients. This has involved the revision of our client literature, terms of business, cancellation policy and complaint handling. Our staffs were trained during September and the new systems and processes came into force from 1st October 2011.

A new bespoke computer software programme has been commissioned to improve our administration process.

As with any owner managed firm, there is a fine balance between personal involvement in every aspect of the business and delegation to other competent staff to improve efficiency. UAP operates on a national basis and runs weekly seminars free of charge throughout the UK. We make it clear that the content of a seminar is general in nature and that any attendee requiring further information should request a face to face consultation and receive specific bespoke advice. Many law firms with a competent private client department are able to offer similar kinds of trusts we offer. We specialise in advising and marketing of trusts like the Universal Asset Protection Trust'. This does not mean that any competent trust draftsman could not prepare an identical trust if requested.

We would not want any seminar attendee to misunderstand this point. We ensure clarity in all presentations.

It is important to differentiate between a high street solicitor who has little experience in this area and those with expertise who work in this field on a daily basis. Many seminar attendees state that they have come to us after being disenchanted by the advice given by a local firm of solicitors. Often the experience of our clients is that they have found that the level of advice given by many solicitors is very low when it comes to comprehensive estate planning and in many cases the advice given is completely incorrect for asset protection.

Over the years Steve Long has been instructed by numerous Barristers, Solicitors, Accountants and IFAs to protect their own personal estates. These clients include a knighted QC and a Cambridge Law Professor.

We conduct a detailed fact find to ascertain the client's current position and their objectives. Clients' appetite for a detailed and technical explanation varies considerably. Many solicitors, accountants and IFAs that we meet during the course of our work openly admit that they do not understand the technical nature of wills and trusts. This is true of many aspects of life. We endeavour to provide explanation at the level the client requests rather than bombard them with technicalities while ensuring that the solution is fit for purpose. Where a client requests detailed technical explanations we go through all documentation on a clause by clause basis to ensure that they have a thorough understanding. Many clients state that they do not want this level of explanation. We are working on an estate planning bible' that will provide all clients with this comprehensive explanation that they can refer to as the need arises.

We have many prospective clients that request a first meeting, at which we provide advice free of charge, that subsequently do not proceed to instruct us. There are others who discuss the proposed planning with beneficiaries, family and friends and later decide that they do wish to proceed.

Clients have to determine whether the benefits outweigh the initial cost and will in many cases depend upon their personal perception of such a structure and whether or not they think they will need to rely on such planning. To a certain extent it is very similar to an insurance policy. You can put the planning in place but you may not necessarily need to rely on it: - Lasting Power of Attorney is a prime example. It is therefore the client's ultimate judgement which leads them to buying the product.

Planning the protection of an estate is by its very nature best done before it is needed. A Will cannot be prepared after death, and a Lasting Power of Attorney cannot be drafted after loss of mental incapacity. These documents are prepared in advance in case of need. This is also the case with lifetime trusts.

Undue pressure is not applied to clients who decide to withdraw from our products. Where clients do decide to cancel their instruction to us, each case is considered individually. A significant number of clients receive a full fee reduction or a substantial fee reduction depending on the level of work undertaken at the time of termination. This principle is the same in many solicitors' firms and our procedures do not differ from those. Full or partial fee refunds are made to clients upon request depending on the level of work carried out as the company recognises that people do change their minds and so we act reasonably and accordingly.

Where a contract is substantially performed to a degree where all documentation is provided, reflecting significant work undertaken, we will respond to the client stating the level of refund they are likely to receive. However in most cases, even where the contract is substantially performed and where we are not obliged to do so, a reduced fee is nevertheless agreed as a gesture of goodwill.

In light of the recent introduction of Alternative Business Structures as part of the Legal Services Act 2007, we have undertaken a fundamental review of all our practises and procedures, both internally and externally and where we have recognised a weakness this has been dealt with accordingly. A clear and transparent cancellation procedure was introduced with effect from 1 October 2011 and is designed to provide clients with greater clarity of our costs upon termination. These reviews were undertaken as a corporate measure in anticipation of our application to become an authorised body.

Universal Trustees
The partners of Universal Trustees are appointed to act as trustees in the majority of cases acting with the client family members as trustees. We do this as a sign of our commitment to assist the client throughout their lifetime and are not interested just in upfront planning fees. We want to be actively involved and supportive when the planning is most needed. Many clients have appreciated this support during illness and bereavement. There are a number of safeguards that ensure clients are protected.

The Duty of Care imposed on Trustees is laid out in statute: - Section 1(1) of the Trustee Act 2000. This states among others, that a trustee must act with such care and skill as is reasonable; trustees must not benefit one beneficiary at the expense of another; they must not breach any duty he has towards the trust; and a trustee is personally responsible for the decisions that are made regarding the administration of the trust and its property.

All Trustees are subject to a duty of care and the standard by which this is judged would depend on whether you are holding yourself out as a professional. Therefore the standard of care expected by professional trustees is far greater than that expected of a reasonable man or the ordinary citizen. This is evidenced by case law.

The Asset Protection Trust appoints what is called a protector who is given powers in connection with the trust by requiring their consent to different acts of the trustees or the settlor. The consent of a protector is commonly required for the exercise of trustees' powers, for instance, to add beneficiaries of a discretionary trust, or their powers of appointment etc.

Universal Trustees holds professional indemnity insurance cover for up to 5m for any act or omission by the Trustees in error, fraud or negligence. The minimum imposed by the SRA on law firms is 2m.

This level of indemnity insurance provides clients with complete assurance that they are protected against any error of the Trustees. To date we have never had a claim made against us.

No client is bound to have the partners of Universal Trustees to act for them. This is offered purely as a service to clients because we do not expect them to understand the complexities of running a trust or to have to give this responsibility totally to inexperienced relatives.

The trust deed makes specific provision for the trustees to be removed by the settlor at any time. This can be done without reference to the existing trustees and does not require their permission or agreement. Where clients have asked for the partners of Universal Trustees to retire in favour of replacements not only is this respected but invariably the required paperwork is drafted free of charge.

We do not consider the fees charged for our trust package to be excessive. We offer a comprehensive package to seminar attendees for 2495 plus VAT for single clients and 2995 plus VAT for couples. It is our experience that clients prefer to work on a fixed fee basis where possible.

This package includes trusts, LPAs, Wills incorporating Will trusts, severance of tenancy, and transfer of assets into trust. It also includes the initial advice (provided free of charge) and a further meeting or meetings to explain the documentation and to supervise the signing and witnessing of it.

We are aware both from our own research and anecdotally that many firms charge significantly higher fees than UAP. A recent newspaper article highlighted that we charge two thirds of a well-known competitor's fee.

In any case, we offer a price match policy, to ensure that we are always competitive with any local firm that may offer a similar package at a reduced rate. To date we have only received three requests for a price match and on close inspection none of these have offered the same documentation for a lower rate.

It is not our experience that trusts promoted to avoid care fees are more likely to be challenged. Our trust deed does not mention care fees though our marketing literature does discuss this as one of the benefits.

The leading body of work on care fee legislation and mitigation maintains that intention is irrelevant' and that foreseeability is the primary concern. It is our experience and that of our advisers that trusts set up at the right time and in the right circumstances are effective and to date have a 100% track record.

We hope that this comprehensive response will demonstrate that we endeavour to act in the best interests of our clients at all times. Where we make mistakes we rectify them as soon as possible. The popularity of loft living, in many cases rendered feasible only by the ingenious range of Velux products, has spread beyond the newly fashionable quarters of the major cities of the United States and Britain. The term 'loft' and its association with modern lifestyle is now finding its way into the vocabulary of other languages.

In an older property the roof space might also be called a 'buhardilla' which literally means 'the owl house'. Because of the diversity of Spanish architecture, mainly a result of extreme climatic differences between the northern and southern provinces there is a distinctly higher demand in the northern and more mountainous regions such as Cantabria and Asturias. This is because the roofs are pitched so as to discharge rain water and snow rather than flat roofs which are more predominant in the southern, drier provinces such as Andalucia and Murcia.

Many potential British buyers cross the channel to look for a holiday home in the northern provinces of Spain. Some buy property for personal use and others purchase property to rent or convert into guest houses to attract the rural tourism market. Easy access by car ferry and reduced travelling time by car from the ports of Santander or Bilbao make it a very desirable choice, especially as these regions offer spectacular countryside with mountains and beaches in easy reach. Properties in need of renovation are particularly attractive to British buyers and the knowledge that Velux roof windows and Velux blinds are readily available facilitates the option of converting lofts into extra living space instead of the costly business of adding extensions which might fall foul of local planning laws.

Disputing A Mortgage With A Qualified Written Request

As mentioned in a previous article, it can be very difficult for homeowners facing foreclosure to raise certain claims in court when the bank holding their loan has failed and been taken over by the Federal Deposit Insurance Corporation. Case law and federal statute give the FDIC broad immunity against a number of claims that could be raised by borrowers in regards to loans held by the failed institution.

However, there are also a number of exemptions to the broad immunity the FDIC enjoys. Four of them are significant and worth examining here, as homeowners in foreclosure may be able to use them to bring claims against the FDIC or successor financial institutions.

The first is called fraud in the factum, and refers to any case when one party to a transaction reasonably relies on a misrepresentation by another party. The misrepresentation will be as to the character or essential terms of the contract. Examples include alteration of a document or forgery. The FDIC nor its successor institutions are immune to claims of fraud in the factum, so homeowners may be able to bring these issues into court.

Second, Truth in Lending rescission claims are still allowed despite the FDIC's immunity protection. In fact, the Truth in Lending Act states that a borrower's rescission rights continue regardless of assignment of the loan or to whom the loan is assigned. This means that, even if the lender fails and the note is taken over by the government, rescission may still be an option if the other requirements under the statute are met. FDIC receivership of the bank's assets will not affect the claim.

Also, the FDIC does not have immunity protection from any transaction that is void. The federal statute granting FDIC immunity is intended to protect the government's interests in assets is acquires from the failed banks. A void transaction, though, does not create an interest in an asset, and the immunity protection can not be extended to assets in which the FDIC has no valid interest. In cases such as fraud in the factum, the transaction may be declared void, for instance.

Finally, there is a rule called the FTC Holder Rule that was designed to protect credit consumers from holder-in-due-course immunity, such as the FDIC has been granted. For this rule to apply, though, an FTC Holder Notice must be included in the consumer credit contract. It will be included in many transactions relating to a sales transaction. This might be a home improvement contract or other similar agreement. If the notice is included in the contract, the FDIC's immunity may not apply.

While the above defenses to broad FDIC immunity have survived most course, other claims have survived in a smaller number of cases. These include such issues as breach of contract, failure of consideration, challenges to the validity of a lien, homestead issues, unreasonable foreclosure sale, and state statutes regarding Unfair and Deceptive Acts and Practices. Homeowners should do their own legal research to determine if their claims may survive, or consult with a competent foreclosure attorney.

When homeowners find that they have become a mortgage customer of the government, falling into foreclosure can become extremely complicated. While the FDIC has taken some steps to assist borrowers in stopping foreclosure, the agency is granted broad immunity from many claims that may have been used to defend against the loss of the home in the first place. Thus, borrowers should educate themselves in regard to the issues surrounding the FDIC's administration of mortgage loans and foreclosure.
